-    Paralegals’ roles in general corporate matters. 

-    Paralegals’ roles in M&As transactions. 

-    Introduction to legal Due Diligence methodology. 

-    How to get the deal through and accommodate your clients’ needs. 



(ii)    Second slot: 

-    Legal Due Diligence methodology.

-    Determine the transactions’ hindrances and their representation to the client. 

-    Introduction to Key Issues List and Red Flag reports. 

-    Open discussion and wrap-up. 


c-    Day three


(i)    First slot: 

-    Key Issues List and Red Flag reports methodology. 

-    Introduction to the main transaction documents that a paralegal should review or assist in drafting and their importance in a transaction. 


(ii)    Second slot: 

-    Proofing and drafting a Shareholder’s Agreement. 

-    Most important clauses and schedules of the Shareholder’s Agreement. 

-    Negotiate a Shareholder’s Agreement.

-    Open discussion and wrap-up. 


d-    Day four 


(i)    First slot: 

-    Introduction to the Share Purchase Agreement. 

-    Proofing and drafting a Share Purchase Agreement.

-    Most important clauses and schedules of the Share Purchase Agreement. 

-    Negotiate a Shareholder’s Agreement.


(ii)    Second slot:

-    Continue the most important clauses and schedules of the Share Purchase Agreement. 

-    Negotiate a Share Purchase Agreement.

-    Open discussion and wrap-up.
